Publication regarding the female quota of Eurowings GmbH

Declaration on Corporate Governance 2025 pursuant to Section 289f HGB (German Commercial Code) by Eurowings GmbH for publication on the Company website: information regarding the proportion of women in management positions in accordance with Section 289f HGB (Declaration on Corporate Governance)

The Lufthansa Group has made a voluntary commitment to ensuring that by 2030, a minimum 30% of management-positions at all levels are held by women and men respectively (IATA commitment). To achieve this, the companies in the Lufthansa Group have set individual goals aimed at promoting gender diversity in management. Eurowings GmbH and its sister companies within the Lufthansa Group’s “Eurowings” business division will also contribute to the 2030 target of 30% women at management levels 1 and 2. Under the IATA voluntary commitment, this objective was set at 25% by 2025. As of 31 December 2025, this target was exceeded across all Eurowings companies by a total of 28.6%.

Furthermore, the German Act on Equal Participation of Women and Men in Leadership Positions also requires some companies to establish and publish targets, by means of a resolution, regarding the proportion of women on the supervisory board, management board and in the first two levels of management below the Executive Board, as well as providing deadlines for these targets to be achieved. Eurowings GmbH falls within the scope of this regulation.

The Eurowings GmbH Supervisory Board must therefore set targets regarding the proportion of women on the supervisory board and the management board of Eurowings GmbH, along with deadlines for achieving them. The management board of Eurowings GmbH, for its part, must set these targets and deadlines for the two levels of management reporting to them. In this context, Eurowings GmbH has in the past set appropriate targets to be achieved by 31 December 2016 and 31 December 2025. New targets regarding the proportion of women have been set, and the deadline for achieving them is 31 December 2030.

In this regard, the supervisory board has set a target of 33.3 percent for the proportion of women on the Supervisory Board of Eurowings GmbH and 33.3 percent for the proportion of women on the management board. The management board has set a target of 0 percent for the first and second levels of management below the management board.

By the end of 2025, the proportion of women on the supervisory board was 41.7% (target: 30%). The proportion on the management board was 0% (target figure: 0%). The proportion for the first level of management below the management board was 0 percent (target: 0 percent) and 50 percent for the second (target: 0 percent).

Note: The commitment of 0% for the two management levels below the management board is solely due to the internal structure of the Lufthansa Group business segment ‘Eurowings’ and its companies, in which Eurowings GmbH is responsible for flight operations and – without dedicated management levels – is equipped only with the administrative staff required under aviation law. This means that the total number of managers at this level is one person at the first and two people at the second. All other services are provided by an in-house service company. For this reason, in order to achieve the goal of greater diversity in leadership roles, it is appropriate to consider Eurowings GmbH and its affiliated Eurowings companies as a single entity within the entire “Eurowings” business division of the Lufthansa Group. Here, the percentage of women currently exceeds 25% and the target for 2030 is 30% (see above).
